Customers agree to pay all fees associated with their advertising orders and services.

Payment amounts, due dates, billing frequency, and applicable charges will be identified in the relevant advertising order, invoice, or service agreement.

Unless otherwise specified in writing, payment is due according to the terms stated on the invoice.

Golden Mailer may suspend services for overdue payments after providing any notice required by applicable law or the governing agreement.

Cancellations

Cancellation requests must be submitted to Golden Mailer in writing.

Cancellation eligibility and any associated charges depend on the services purchased, the applicable agreement, and the stage of production.

For printed advertising, cancellation may not be possible once printing, production, or mailing commitments have begun.

For digital advertising, cancellation may require reasonable processing time and may remain subject to charges already incurred.

Customers remain responsible for authorized services performed and noncancelable third-party expenses incurred before the effective cancellation date.

Refunds

Refunds, credits, or other remedies will be determined according to the applicable service agreement and governing law.

Golden Mailer will not unreasonably withhold refunds that are required by law or expressly promised in a written agreement.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Golden Mailer will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of its services.

Such damages may include lost profits, lost business opportunities, or lost anticipated advertising revenue.

Except for liabilities that cannot lawfully be limited, Golden Mailer’s aggregate liability arising from a particular advertising order or service will not exceed the amount paid by the customer for the affected service during the 12 months preceding the event giving rise to the claim.

Nothing in this section excludes or limits liability for fraud, willful misconduct, or any other liability that cannot legally be excluded or limited.

Any limitations of liability are subject to applicable consumer protection laws and the terms of separately negotiated agreements.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLDEN MAILER PROVIDES ITS WEBSITE AND SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS, EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT.

GOLDEN MAILER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

GOLDEN MAILER DOES NOT WARRANT THAT ITS WEBSITE OR DIGITAL SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

GOLDEN MAILER DOES NOT GUARANTEE SPECIFIC ADVERTISING RESULTS, SALES PERFORMANCE, OR BUSINESS GROWTH.

NOTHING IN THIS SECTION LIMITS ANY EXPRESS WARRANTY OR STATUTORY RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.

17. Indemnification

To the extent permitted by applicable law, customers agree to indemnify and hold harmless Golden Mailer and its officers, directors, employees, agents, and representatives against third-party claims, damages, liabilities, and reasonable expenses arising from:

  1. Advertising content supplied or approved by the customer that violates applicable law.

  2. Customer infringement of third-party intellectual property rights.

  3. Material misrepresentations made by the customer.

  4. Unauthorized use of personal information or marketing lists supplied by the customer.

  5. The customer’s material breach of these Terms.

This obligation does not apply to the extent a claim arises from Golden Mailer’s own negligence, misconduct, unauthorized modifications, or breach of its obligations.

Golden Mailer will provide reasonable notice of an indemnifiable claim and an opportunity for the customer to participate in its defense.

18. Suspension and Termination

Golden Mailer may suspend or terminate services when a customer:

  • Materially violates these Terms.

  • Fails to make required payments.

  • Provides fraudulent information.

  • Submits unlawful advertising materials.

  • Misuses Golden Mailer’s systems.

  • Engages in conduct that creates material legal or security risks.

Where reasonably practicable, Golden Mailer will provide notice and an opportunity to correct a violation before termination.

Immediate suspension may occur when necessary to address fraud, unlawful conduct, security threats, or other urgent risks.

Termination does not eliminate payment obligations for services already provided or authorized expenses already incurred.

19. Force Majeure

Golden Mailer will not be responsible for delays or failures in performance caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, postal disruptions, transportation interruptions, labor disputes, government restrictions, utility outages, cyberattacks, or failures of third-party infrastructure.

Golden Mailer will make reasonable efforts to minimize disruptions and resume affected services.

If a material disruption continues for an extended period, the parties may discuss an appropriate adjustment, credit, rescheduling, or termination of affected services.

Nothing in this provision excuses payment obligations already accrued or limits rights that cannot lawfully be waived.

20. Dispute Resolution and Governing Law

These Terms will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

The parties agree to attempt in good faith to resolve disputes through direct communication before initiating formal legal proceedings.

Either party may provide written notice describing the dispute and the requested resolution.

If the dispute cannot be resolved informally, either party may pursue available legal remedies in a court of competent jurisdiction.

Unless otherwise required by law or agreed in a separately executed contract, disputes will be brought in an appropriate state or federal court in California.

Nothing in these Terms prevents either party from exercising rights or remedies that cannot lawfully be restricted.

21. Changes to Terms

Golden Mailer reserves the right to modify these Terms from time to time.

Updated Terms will be published on Golden Mailer’s website at:

www.goldenmailer.com

Changes will become effective on the date specified in the revised Terms.

Material changes affecting existing customers or ongoing service agreements will be communicated when required by law or contract.

Unless otherwise agreed, changes will not retroactively modify the terms of an already accepted advertising order without the parties’ consent.

Continued use of Golden Mailer’s website or purchase of new services after revised Terms become effective constitutes acceptance to the extent permitted by law.

Any separately executed agreement will control over these Terms to the extent of a direct conflict.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
